1. Agreement to Terms

By accessing or using the website of Auri Academy (“Company,” “we,” “us,” or “our”), including submitting information through our online forms or communicating with us via text message, you agree to be bound by these Terms & Conditions and our Privacy Policy (available at
https://auriacademy.com/privacy-policy/). By using our website, you also acknowledge receipt of our Privacy Policy.

If you do not agree, please do not use our website or services.

2. Services

Auri Academy provides educational and professional development training in the aesthetic industry, including didactic, observational, virtual, business, certification/CME, and hands-on clinical training opportunities. Certain educational offerings are open to medical assistants, business owners, and other individuals interested in the aesthetic industry; however, participation in any hands-on patient care training requires proof of an active medical or dental license that permits the participant to legally practice in the applicable jurisdiction and, when applicable, within the State of Arizona. Auri Academy reserves the right to verify credentials and deny participation to any attendee who does not meet eligibility requirements.

Hands-on training may include observation, supervised participation, and/or direct patient care on live models under the oversight of a licensed medical provider. All patients participating in training sign informed consent and liability waivers acknowledging student involvement in treatment. Participation in Auri Academy programs does not guarantee competency, certification for independent practice, employment, credentialing, privileges, or business success. Attendees are solely responsible for practicing within their professional scope, licensure requirements, competency, malpractice coverage, and all applicable local, state, and federal laws and regulations, which vary by jurisdiction.

All educational materials and instruction are intended for informational and professional development purposes only and reflect current best practices, clinical experience, and expert opinion. Auri Academy does not provide medical, legal, licensing, or business guarantees or advice. All training purchases are non-refundable, and Auri Academy reserves the right to refuse or revoke participation at its discretion for failure to meet eligibility, safety, or professional standards.

We reserve the right to modify, suspend, or discontinue any part of our services at any time. Where practicable, we will endeavor to provide reasonable advance notice of material changes to our services.

3. Eligibility

All Auri Academy educational materials, content, curriculum, presentations, protocols, techniques, forms, videos, photography, training manuals, digital resources, business materials, and related educational content (collectively, “Materials”) are proprietary intellectual property owned by Auri Academy and are protected by applicable copyright, trademark, and intellectual property laws. Purchase or participation in any training, course, observation, mentorship, certification, or educational program grants the attendee a limited, non-transferable license for personal educational use only and does not confer ownership or rights to reproduce, distribute, teach, publish, modify, sell, share, copy, record, or commercially exploit any Materials in whole or in part without prior written consent from Auri Academy. Unauthorized recording, duplication, reproduction, distribution, or use of Auri Academy Materials for educational, commercial, or competitive purposes is strictly prohibited. Auri Academy reserves all rights to pursue legal remedies for any unauthorized use, infringement, misappropriation, or violation of its intellectual property rights.

You may not reproduce, distribute, or use our content without written permission.

9. Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. 10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AURI ACADEMY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, OUR WEBSITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO AURI ACADEMY IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Participation in Auri Academy educational programs, including but not limited to didactic instruction, observation, virtual education, certification/CME courses, business training, and hands-on clinical training involving live patients, is voluntary and undertaken at the participant’s own professional discretion and risk. Participants acknowledge that aesthetic medicine and procedural training involve inherent risks, including but not limited to procedural complications, adverse outcomes, emotional distress, patient dissatisfaction, or professional liability exposure.

All participants engaging in hands-on clinical training must provide proof of active professional licensure, where required, and maintain current malpractice insurance coverage as a condition of participation. Participants acknowledge and agree that they remain solely responsible for exercising independent professional judgment, practicing within their legal scope, competency, licensure requirements, and applicable laws and regulations.

To the fullest extent permitted by law, Auri Academy, Auri Aesthetics, its owners, instructors, contractors, employees, affiliated medical providers, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, claims, injuries, complications, losses, professional discipline, licensing issues, business losses, patient outcomes, or liabilities arising out of or related to participation in any training program, educational content, clinical experience, or subsequent application of techniques learned.

Participation in training does not establish supervision, employment, credentialing, or an ongoing clinical relationship.

By enrolling in training, participants expressly assume all risks associated with participation and agree to release, indemnify, and hold harmless Auri Academy, Auri Aesthetics, and affiliated parties from any claims, demands, liabilities, damages, or expenses, including legal fees, arising from their participation in training or subsequent professional practice.

11. Photography, Video, and Media Consent & Usage Rights

Auri Academy and Auri Aesthetics may photograph, video record, and otherwise document training sessions, procedures, models, and educational activities for purposes including but not limited to education, documentation, marketing, advertising, social media, and promotional use.

All training models provide informed consent and release authorizing Auri Academy and Auri Aesthetics to capture and use their likeness, medical treatment images, and related media. Such rights are held and controlled exclusively by Auri Academy and Auri Aesthetics.

By participating in Auri Academy trainings, attendees acknowledge that they may appear in photographs or video recordings captured during training. Auri Academy may, at its discretion, grant attendees a limited, non-exclusive, non-transferable, revocable license to use certain approved images or video content featuring training models solely for professional portfolio, educational, and marketing purposes.

Any such permission is strictly conditioned upon the following requirements:

  • Images/videos must not be altered in a misleading or clinically inaccurate manner
  • Content must not disclose protected health information or violate patient confidentiality
  • Content must be used in a professional and ethical manner consistent with medical advertising standards and applicable laws
  • Content may not be sold, licensed, or transferred to third parties
  • Content may not be used in a way that implies endorsement by Auri Academy, Auri Aesthetics, instructors, or models
  • Use must comply with all applicable state licensing board advertising and scope-of-practice regulations

Auri Academy reserves the right to revoke permission to use any media at any time, at its sole discretion, including in cases of misuse, misrepresentation, or violation of these terms.

Unauthorized use, distribution, or modification of any Auri Academy or Auri Aesthetics media, including content depicting training models, is strictly prohibited and may result in legal action.

12. Third-Party Links

Our website may contain links to third-party websites. We are not responsible for the content or practices of those websites.

13. Dispute Resolution; Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Any dispute, claim, or controversy arising out of or relating to these Terms & Conditions or your use of our website or services shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in court for infringement of intellectual property rights.

YOU AND AURI ACADEMY EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION. Arbitration shall take place in Arizona. Judgment on the award may be entered in any court of competent jurisdiction.

14. Travel & Accommodation Disclaimer

Participants are solely responsible for arranging and covering all travel, lodging, meals, transportation, and other expenses associated with attendance at Auri Academy trainings or events. Auri Academy is not responsible for any costs, fees, losses, penalties, or inconveniences related to travel or accommodations, including but not limited to airfare, hotel reservations, rental vehicles, missed work, or other incidental expenses. Participants are strongly encouraged to purchase refundable travel arrangements and/or travel insurance.

Auri Academy reserves the right to modify, reschedule, relocate, cancel, or adjust training dates, instructors, formats, schedules, or course content at its discretion due to circumstances including, but not limited to, instructor availability, patient model availability, safety concerns, minimum enrollment requirements, facility issues, weather, emergencies, or unforeseen events.

In the event of a training reschedule or cancellation by Auri Academy, liability shall be limited solely to the training registration fee paid, if applicable, and Auri Academy shall not be responsible for reimbursement of travel, lodging, or other related expenses incurred by participants.

15. Termination

We reserve the right to suspend or terminate access to our website or services at our discretion if these Terms are violated.

16. Governing Law

These Terms & Conditions are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes not subject to the arbitration clause above shall be resolved exclusively in the state or federal courts located in Arizona, and you consent to the personal jurisdiction of such courts.

17. Changes to These Terms

We may update these Terms & Conditions at any time. For material changes, we will provide at least thirty (30) days’ prior notice by email (to the address associated with your account, if any) or by posting a prominent notice on our website. Changes will be reflected by updating the “Effective Date” above.

Your continued use of our website after updates constitutes acceptance of the revised terms.

18. General

Entire Agreement. These Terms & Conditions, together with our Privacy Policy and any applicable Order Form or service agreement, constitute the entire agreement between you and Auri Academy regarding your use of our website and services. These terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Auri Academy relating to the same subject matter.

Amendments. Except as provided in Section 15 (Changes to These Terms), these terms may not be amended or modified except by a written agreement signed by both parties or through an account management or online process made available by Auri Academy on its website. No other act, document, usage, or custom will be deemed to amend or modify these terms.

Severability. If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.

Waiver. The failure of Auri Academy to enforce any right or provision of these terms will not constitute a waiver of that right or provision. Any waiver of any provision of these terms will be effective only if in writing and signed by Auri Academy.

Assignment. You may not assign or transfer any of your rights or obligations under these terms without the prior written consent of Auri Academy. Auri Academy may assign these terms, in whole or in part, without restriction.
